These Terms & Conditions (“Terms”) govern participation in the Affiliate Scheme (the “Scheme”) operated by Rayonex Biomedical UK Ltd (“Rayonex”, “we” or “us”), a company registered in England and Wales (company number 11106198) with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ. Our trading address is 9 Reform Street, Blairgowrie, PH10 6BD.

These Terms should be read alongside the Affiliate Scheme Guide at rayonex.co.uk/affiliate-scheme-guide, which explains the Scheme with worked examples. If the Guide and these Terms differ, these Terms apply.

Key terms

“Affiliate” (also called a partner) means a person or business registered in the Scheme.

“Affiliate Area” means the affiliate section of an Affiliate’s account on the Rayonex website.

“Referral Link” means an Affiliate’s unique affiliate link, custom link or QR code, available in their Affiliate Area.

“1st-tier Referral” means a customer linked to an Affiliate under clause 3. A “2nd-tier Referral” is a 1st-tier Referral of one of that Affiliate’s 1st-tier Referrals. The Scheme does not reward referrals beyond the 2nd tier.

“Net Spend” means the value of eligible products in an order after all discounts (including the purchaser’s own partner discount), excluding VAT, shipping charges and Excluded Items.

“Excluded Items” has the meaning given in clause 4.1, and “Net Turnover” has the meaning given in clause 7.4.

1. Eligibility

1.1 The Scheme is open to individuals aged 18 or over who are resident in the UK, and to UK-based businesses (including sole traders, partnerships and companies) acting through an authorised individual aged 18 or over.

1.2 The following may not participate unless Rayonex agrees otherwise in writing: (a) employees of Rayonex Biomedical UK Ltd; and (b) anyone who has administrative access to the Scheme, the webshop or the systems used to operate them, or who is involved in running the Scheme.

1.3 Affiliates join the Scheme by registering on the Rayonex website and ticking the box to confirm that they accept these Terms. Existing customers join by confirming their acceptance of these Terms to Rayonex in writing (for example by email to contact@rayonex.co.uk or through a consent page we provide). We will not activate an affiliate account until we have that confirmation.

1.4 Each person or business may hold only one affiliate account. We may decline an application at our discretion.

1.5 All previous Practitioner discounts, Sales Partner agreements, referral fees and similar arrangements relating to purchases end on the Scheme launch date, whether or not the Practitioner or Sales Partner joins the Scheme. From that date, the only discounts and rewards available on purchases are those set out in these Terms. Agreements relating to the rental of Rayonex products are not affected and continue on their own terms.

2. Referral Rewards

2.1 Affiliates earn store credit when one of their 1st-tier or 2nd-tier Referrals places a qualifying order for eligible products. This applies to every qualifying order the Referral places while they remain linked to the Affiliate, not only their first order. Credit rates depend on the Affiliate’s partner status (see clause 7).

2.2 Store credit is calculated on the Net Spend of the qualifying order, meaning the value of eligible products after any discount (including the purchaser’s own partner discount), excluding VAT, shipping charges and Excluded Items.

2.3 Store credit may only be redeemed against purchases from Rayonex Biomedical UK Ltd’s webshop at rayonex.co.uk.

2.4 Store credit is non-transferable, non-exchangeable, and has no cash value. It cannot be withdrawn, converted into money, or applied to previous purchases. Store credit cannot be transferred or assigned to another person or account without Rayonex’s prior written permission. Rayonex does not make cash payments under the Scheme.

2.5 Store credit is lost if:

(a) the Affiliate makes no purchases from the Rayonex webshop for 24 months; or

(b) the Affiliate’s account is closed or deleted, whether at the Affiliate’s request or under clause 5.3.

We will email the Affiliate at least 30 days before store credit is lost under (a). The 24-month period will not start before [the Scheme launch date]. The Affiliate’s available balance is shown in their Affiliate Area.

2.6 If a purchase is returned, cancelled, or refunded, any store credit previously awarded for that purchase will be reversed or deducted from the Affiliate’s balance. If that credit has already been spent, Rayonex may deduct the equivalent amount from future store credit or request repayment from the Affiliate.

2.7 Store credit is added to the Affiliate’s balance only once the qualifying order has been paid in full. Until then it may show as pending.

2.8 Affiliates do not earn store credit on their own orders. Instead, partner status may give the Affiliate a discount on their own orders (see clause 7).

2.9 Affiliates are responsible for any tax that may be due on benefits they receive through the Scheme.

3. Qualifying Referrals

3.1 A customer becomes an Affiliate’s 1st-tier Referral when they register or place an order using that Affiliate’s Referral Link, or when Rayonex links them to that Affiliate at the customer’s request (for example, an existing client of a Practitioner who asks to be linked to that Practitioner). Customers who have purchased from Rayonex before can be linked in this way. A customer can be linked to only one Affiliate at a time.

3.2 If multiple Affiliates refer the same customer, the customer is linked to the first Affiliate whose Referral Link was used, and stays linked to that Affiliate unless Rayonex reassigns them under clause 3.4. A Referral Link is tracked for 30 days after it is clicked.

3.3 Rayonex Biomedical UK Ltd reserves the right to refuse, revoke, or adjust credits if fraudulent, misleading, or abusive activity is suspected.

3.4 In the event of a dispute regarding which Affiliate a customer should be assigned to, Rayonex Biomedical UK Ltd reserves the right to make the final determination and assign the customer at its sole discretion.

3.5 Affiliates must not refer themselves, open additional accounts, or use their own Referral Link for their own orders or those of their own business.

4. Using Store Credit and Excluded Items

4.1 Store credit can be used only for eligible products as displayed on Rayonex Biomedical UK Ltd’s webshop. The following items (“Excluded Items”) do not earn store credit, do not receive partner discounts and do not count towards Net Turnover: shipping charges, furniture, literature, third-party items, rental products, courses and events, and services. Rayonex may update this list under clause 5.1.

4.2 Store credit must be applied at checkout and can be used together with the Affiliate’s partner discount on the same order. Store credit and partner discounts cannot be combined with bulk-buy discounts, supplement volume discounts or other promotions unless stated otherwise.

4.3 If an Affiliate’s store credit is more than the value of an order, the remaining balance stays in their account. If an order paid for with store credit is refunded, the store credit used is returned to the Affiliate’s balance rather than paid in cash.

5. Changes, Suspension & Termination

5.1 Rayonex Biomedical UK Ltd may amend or suspend the Scheme or these Terms (including credit rates, discounts, partner status rules and Excluded Items) by giving at least 30 days’ notice by email and in the Affiliate Area. We may make changes immediately where required by law or to prevent fraud or misuse. Affiliates who do not accept a change may leave the Scheme.

5.2 If Rayonex ends the Scheme, we will give at least 60 days’ notice, and Affiliates will have at least 90 days after the Scheme ends to use store credit they have already earned. Any store credit unused after that may be cancelled.

5.3 Serious or repeated breach of these Terms, or fraud, may result in disqualification from the Scheme and cancellation of store credit connected to that breach.

5.4 Affiliates may leave the Scheme at any time by contacting us by email to contact@rayonex.co.uk. Unused store credit is lost when the account is closed (see clause 2.5), so we will remind the Affiliate of any remaining balance before closing it.

6. Data Protection

6.1 Rayonex processes Affiliates’ personal data to run the Scheme, as necessary to perform our agreement with them, and in accordance with Rayonex Biomedical UK Ltd’s Privacy Policy at rayonex.co.uk/privacy-policy. Signing up to our newsletter is optional, separate from the Scheme, and can be withdrawn at any time.

6.2 Data will be used for Scheme administration. We do not sell it, and share it only with service providers who help us operate the Scheme and our website (such as our website host and affiliate software provider), or where required by law.

6.3 In their Affiliate Area, Affiliates can see the names and partner status of their 1st-tier Referrals, together with referral activity and store credit totals, solely for the purpose of tracking their network. Affiliates cannot see contact details of their Referrals or any details of their 2nd-tier Referrals.

6.4 Affiliates are not permitted to use or process the personal data of their Referrals outside the Scheme. Where an Affiliate asks us to link an existing client to them, the Affiliate must have that client’s permission to share their details with us.

7. Partner Status Tiers

7.1 The Scheme has four partner status levels: Silver, Gold, Platinum and Ambassador. Each level sets the discount an Affiliate receives on their own orders and the store credit rates earned on referrals, as follows:

• Silver: own discount 0%; 1st-tier credit 5%; 2nd-tier credit 5%.
• Gold: own discount 5%; 1st-tier credit 5%; 2nd-tier credit 5%.
• Platinum: own discount 10%; 1st-tier credit 5%; 2nd-tier credit 5%.
• Ambassador: own discount 15%; 1st-tier credit 10% (or 5% under clause 7.7); 2nd-tier credit 5%.

7.2 Gold: Affiliates who register using another Affiliate’s Referral Link start at Gold for 35 days. [Confirm: Affiliates who register directly start at Silver.] Each time a Silver or Gold Affiliate pays for a qualifying order, they move to, or remain at, Gold for 35 days from the date of payment.

7.3 Silver: If a Gold Affiliate does not pay for a qualifying order within their 35-day Gold period, their status returns to Silver. We aim to email a reminder about 7 days beforehand, but the change applies whether or not the reminder is received.

7.4 Platinum and Ambassador: An Affiliate reaches Platinum when their Net Turnover reaches £50,000, and Ambassador when it reaches £150,000. “Net Turnover” means the combined Net Spend of the Affiliate’s own qualifying orders and those of their 1st-tier Referrals, after all discounts and refunds, and excluding VAT, shipping charges and Excluded Items. Orders from 2nd-tier Referrals do not count. Status upgrades are calculated on these net figures only; VAT, shipping and amounts before discount are never included.

7.5 Platinum and Ambassador status are permanent (“lifetime”) for as long as the Affiliate’s account remains open and the Scheme continues, subject to clauses 5.1 and 5.2. They are not affected by the 35-day Gold period.

7.6 Existing Certified Practitioners who held that status with Rayonex before the Scheme launched will be placed at Platinum. Sales Partners who held that active status with Rayonex before the Scheme launched and whose Net Turnover had reached £150,000 will be placed at Ambassador. Active Sales Partners whose Net Turnover had not reached £150,000 will be placed at Platinum. Whether a person held Certified Practitioner or active Sales Partner status is decided by Rayonex’s records on the Scheme launch date. Rayonex may also credit an Affiliate’s historic purchases made before scheme launch date towards Net Turnover, calculated on the same net basis as clause 7.4. Historic purchases count towards status thresholds only; they do not earn store credit or discounts retrospectively.

7.7 Ambassador 1st-tier rate: An Ambassador earns 10% on qualifying orders from 1st-tier Referrals with Silver or Gold status, and 5% on qualifying orders from 1st-tier Referrals with Platinum or Ambassador status. Status is taken as at the date of the order.

7.8 The 35-day Gold period and the reminder timing may be changed under clause 5.1.

8. Independent Status and Promoting the Scheme

8.1 Affiliates participate in the Scheme as independent parties. Participation does not create any employment, agency, partnership, or representative relationship with Rayonex Biomedical UK Ltd. Affiliates must not represent themselves as acting on behalf of Rayonex or make any commitments in its name.

8.2 When promoting Rayonex products or sharing a Referral Link, Affiliates must:

(a) use only product descriptions, images and materials provided or approved by Rayonex;

(b) not claim that any product diagnoses, treats, cures or prevents any disease or condition, or make any other health claim not contained in Rayonex-approved materials;

(c) clearly label social media posts and other content containing a Referral Link as advertising (for example “#ad”);

(d) not send unsolicited marketing messages or spam;

(e) not bid on “Rayonex” or Rayonex product names in paid search advertising, or use names, websites or social media accounts that suggest they are Rayonex;

(f) use Rayonex logos and brand materials only as provided and without alteration; and

(g) not display prices of Rayonex products on their own website, but link to the Rayonex webshop instead.

8.3 Rayonex may ask an Affiliate to change or remove content that does not meet clause 8.2, and may treat a failure to do so as a serious breach under clause 5.3.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of Scotland, and disputes shall be subject to the jurisdiction of the Scottish courts. Consumers living elsewhere in the UK may also bring proceedings in the courts where they live.

10. Waiver

Failure by Rayonex Biomedical UK Ltd to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other provision. Any waiver must be in writing and signed by an authorised representative of Rayonex Biomedical UK Ltd.

11. Limitation of Liability & Damages

To the fullest extent permitted by law, Rayonex Biomedical UK Ltd shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the Scheme. Nothing in these Terms limits any liability that cannot be limited by law, or affects a consumer’s statutory rights.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
